Terms and Conditions

These Interior Styling Terms and Conditions (“the Terms and Conditions”), together with the Agreed Scope of Works, constitute a binding contract between:

 

  • You, “the Client”; and
  • Mary Holmes, doing business as “Proud Mary Stylist” (ABN 34 300 297 412) (“Proud Mary Stylist”).

 

The Terms and Conditions and Agreed Scope of Works are together referred to as “the Agreement”.

 

For the purposes of the Agreement, “the Project” means any interior styling work undertaken by Proud Mary Stylist, including mood board preparation, sourcing of products and accessories and physical styling work, as further described in the Agreed Scope of Work.

 

  1. After acceptance of the Terms and Conditions and Agreed Scope of Work by the Client, a deposit of 50% of the full fee is payable in full prior to Proud Mary Stylist commencing any work on the Project. Subject to clause 3 below, this deposit is non-refundable.

 

  1. Once a final concept / mood board has been completed and approved by the Client, the balance of fees is required to be paid prior to the release of any product recommendations and supplier details and prior to the ordering of furniture or accessories.

 

  1. Proud Mary Stylist will provide a tax invoice for each payment referred to above and/or set out in the Agreed Scope of Work. All invoices are due for payment within 7 days of the date of the invoice.

 

  1. Any additional work outside of the Agreed Scope of Work will be charged at an hourly rate of $120 and invoiced weekly.

 

  1. Should the Client wish to terminate the Agreement, the Client must notify Proud Mary Stylist in writing. In the event of any such termination before completion of the Project, Proud Mary Stylist has discretion to determine any appropriate refund amount, depending on what work has already been done on the Project to the date of termination.

 

  1. The service fee in the Agreed Scope of Work is inclusive of one revision to the mood board. Additional revisions to the mood board will be billed at an hourly rate of $120.

 

  1. Showroom visits will be charged at $120 per hour plus travel time of $50 per hour.

 

  1. It is the responsibility of the Client to purchase any required products, accessories or services that have been agreed upon with Proud Mary Stylist. In doing so, the Client accepts all responsibility for:
    1. liaising with the relevant supplier/s (except in instances where it has been agreed that Proud Mary Stylist will do this);
    2. delivery of any goods to the Client’s residence; and
    3. checking for any reportable damage once items have been delivered.

 

Without limiting the foregoing, Proud Mary Stylist accepts no responsibility or liability in relation to such products, accessories or services.

 

  1. It is the responsibility of the Client to ensure access to their property during normal business hours to enable Proud Mary Stylist and any third party suppliers to complete the Agreed Scope of Work.

 

  1. Proud Mary Stylist will be responsible for providing interior styling and decorating services as agreed in the Agreed Scope of Work. Proud Mary Stylist is not regarded as a general contractor. Any issues relating to construction or structural elements must be discussed between the Client and their contractor/builder. Proud Mary Stylist accepts no responsibility or liability in relation to such issues.

 

  1. The availability and cost of products and accessories suggested by Proud Mary Stylist to the Client are indicative only and provided as at the time of the concept/mood board being prepared. Proud Mary Stylist accepts no responsibility in relation to any changes in price, colour or availability of the recommended items.

 

  1. If Proud Mary Stylist provides product recommendations, such recommendations will be from national online suppliers that the Client may wish to buy direct from (except in instances where it has been agreed that Proud Mary Stylist will do this on the Client’s behalf). The Client is responsible for all costs associated with the purchase of such products.

 

  1. Proud Mary Stylist does not provide any product warranties and accepts no responsibility or liability in relation to product performance or function. Any such warranties are the sole responsibility of the manufacturer or the seller of the relevant products (as applicable), including trade supply.

 

  1. The Client agrees to allow Proud Mary Stylist or an agreed photographer to photograph the Project when the Project is complete. Photographs will be used for business purposes only, including but not limited to: press, publications, website, online, social media, marketing, advertising and print. Proud Mary Stylist will not disclose the Client’s address or name without the Client’s prior consent.

 

  1. Proud Mary Stylist retains all its rights of copyright, trademark rights, design rights and other intellectual property rights, including such rights generated by the work performed for the Client in the course of a Project (“IP Rights”). Proud Mary Stylist grants the Client a perpetual and non-exclusive licence in the IP Rights to the extent necessary for the Client to benefit from the works completed as contemplated by the Agreement.

 

  1. Without limiting all other exclusions and limitations in the Agreement, to the extent permitted by law, Proud Mary Stylist excludes all warranties, whether express, implied, statutory or otherwise.

 

  1. If any of these Terms and Conditions or any provision of the Agreement is deemed to be or becomes void, voidable or unenforceable, the remaining provisions continue to have full force and effect.

 

I, the Client, have read, understood and agree to the Agreement, including these Terms and Conditions and the Agreed Scope of Work.
